Board of Directors

The Board of Directors plays a central role within the organisation of the company, being responsible for establishing and implementing the strategic direction and related organisational guidelines, as well as for checking that the necessary controls are in place for monitoring the performance of the company and its subsidiaries.
The Board of Directors of YOOX S.p.A. comprises seven members appointed at the Ordinary Shareholders' Meeting held on 7 October 2009, who will remain in office until approval of the financial statements for the year ended 31 December 2011. Pursuant to the articles of association, in addition to reimbursement of the expenses incurred in the performance of their duties, the directors are entitled receive the annual remuneration authorised at the Shareholders' Meeting.


Federico Marchetti

Mr Marchetti graduated in economics and commerce from Milan's Luigi Bocconi University and obtained an MBA from Columbia University. Mr Marchetti began his professional career in 1994 as an Investment Banking Analyst, first in London and then in Milan. In 1999, he worked with Bain & Co. as a consultant. In 2000, he founded YOOX S.p.A. and, since then, has served as the company's Chief Executive Officer.


Raffaello Napoleone

Mr Napoleone graduated in law from the University of Rome “La Sapienza” and studied executive management and executive marketing at Stanford University. He began his career in 1976 in the commercial division of Italvela S.r.l., an exclusive yachting agent. In 1978 he was a founder member of Nauta S.n.c. From 1984 to 1986, he worked at the Florence office of Les Laboratoires Servier, where as general secretary he was mainly responsible for personnel management. Between 1986 and 1989 he was head of personnel at Salvatore Ferragamo S.p.A., and was a member of the YOOX Board of Directors from 16 May 2007 to 29 October 2009. Since 1989 he has held the post of managing director of Pitti Immagine S.r.l., a non-profit company which organises international trade fairs in the textiles/clothing sector. He also sits on the Steering Committee of the Ente Cassa di Risparmio di Firenze and Giunta di Confindustria Firenze. Mr Napoleone became a member of the Board of Directors of YOOX S.p.A. in July 2010.


Mark Evans

Mr Evans graduated in economics from Queen's University (Canada) and obtained a Master in Letters (MLitt) from Oxford University. Mr Evans began his professional career at Goldman Sachs, where he worked for 15 years at that firm's offices in Europe, Asia and the United States. Subsequently, he worked with Benchmark Capital in Menlo Park (California) as Entrepreneur in Residence (EIR) and then as CEO of a US company active in the software services sector. Since 2002, he works with Balderton Capital, a venture capital firm, in the role of General Partner. He has been a member of the Board of Directors of YOOX S.p.A. since 2003.


Massimo Giaconia

Mr Giaconia is a partner in Baker & McKenzie, the international law firm, principally consulting on domestic and international fiscal matters. In view of his experience, he focuses on assisting domestic and multinational firms with special corporate transactions, business restructuring and investment in property. Mr Giaconia has published numerous articles on fiscal matters in specialist magazines.. He is on the board of directors or board of statutory auditors of a number of companies. Mr Giaconia became a member of the Board of Directors of YOOX S.p.A. in March 2009.


Catherine Gérardin-Vautrin

After having obtained a master's degree in English and French law organized by Sorbonne University in Paris and King's College in London, Ms. Catherine Gérardin-Vautrin graduated at HEC in 1983. She started her professional career as a product manager in the marketing department of a textile company. In 1992, she entered the Louis Vuitton maison in Paris. At first, she was in charge of the development of the image of Louis Vuitton shops around the world and, subsequently, she became director of pret à porter, supporting the artistic director of the Marc Jacobs maison. In 2000, she started working for Emilio Pucci and led its recovery for seven years, first in the position of Chief Executive Officer and subsequently also as Chairman. In 2008-2009, she was Chief Executive Officer of a start-up company in the fashion industry.


Elserino Mario Piol

Mr Piol began his professional career with Olivetti in 1952, where he remained until 1996 after serving as Deputy Chairman of Olivetti and Chairman of Olivetti Telemedia. He has been involved in venture capital activities since 1980, initially for Olivetti. He is currently chairman of Pino Partecipazioni S.p.A., as well as chairman of the Federation of Web Operators (Fedoweb). In October 2000, Bologna University awarded him a degree in business economics honoris causa. Mr Piol has been a member of the Board of Directors of YOOX S.p.A. since 2005.


Stefano Valerio

Mr Valerio studied law at Milan University, graduating cum laude. In 1992, he entered the legal profession and is currently a partner in d'Urso Gatti e Associati, principally concentrating on corporate and financial market law. Mr Valerio has written various articles and essays on corporate law. He is on the board of directors of a number of listed companies and financial institutions. He has been a member of the Board of Directors of YOOX S.p.A. since 2006.
