On 3 September 2009, the Board of Directors of YOOX S.p.A. resolved "to align the company's system of corporate governance with the recommendations contained in the current Code of Self-Regulation issued by the Committee for the Corporate Governance of Listed Companies, by adopting resolutions - as part of the procedures for admission to and listing in the Star segment of the Screen-traded Market (MTA) organised and managed by Borsa Italiana S.p.A. - that enable the company to adopt corporate governance tools consistent with those envisaged in the Regulations for Markets organised and managed by Borsa Italiana S.p.A. and in the related Instructions for Issuers in the Star category, pursuant to the recommendations contained in the Code of Self-Regulation and market practice; all the above being in any case subject to the start of trading in the ordinary shares of YOOX S.p.A. within the Star segment of the MTA."
